Choosing the Right Entity

Limited Liability Company (LLC)

The most popular choice for small and mid-sized businesses in Nevada. LLCs offer personal liability protection, pass-through taxation, flexible management structure, and minimal formalities. Nevada LLCs are governed by NRS Chapter 86.

Corporation (C-Corp or S-Corp)

Corporations offer strong liability protection and are the preferred structure for businesses seeking outside investment or planning to go public. S-Corps provide pass-through taxation for qualifying businesses. Nevada corporations are governed by NRS Chapter 78.

Limited Partnership (LP) and Limited Liability Partnership (LLP)

Useful for specific business arrangements, particularly in real estate investment and professional services. Governed by NRS Chapter 87 and 87A.

Professional Entity (PLLC)

Required for licensed professionals (attorneys, doctors, accountants) operating through an entity. Governed by NRS Chapter 89.

Sole Proprietorship

The Nevada LLC Formation Process

Nevada LLCs are the most common entity we form. The process includes:

Name Selection and Availability Search

Your LLC name must be distinguishable from other Nevada entities and include a designator such as "LLC" or "Limited Liability Company" (NRS 86.171).

Registered Agent Appointment

Every Nevada LLC must designate a registered agent with a physical Nevada address (NRS 86.231).

Articles of Organization Filing

Filed with the Nevada Secretary of State along with the Initial List of Managers/Members and State Business License application. Combined filing fee is $425 (NRS 86.161).

Operating Agreement

While not legally required (NRS 86.286), we strongly recommend a custom operating agreement defining ownership, management, profit distribution, and dispute resolution procedures.

EIN and Compliance

We obtain your Federal Employer Identification Number and ensure compliance with state and local licensing requirements.

Ongoing Entity Maintenance

Annual List Filing

Due by your LLC's anniversary date each year. Filing fee: $150 (NRS 86.263). Late filing incurs a $75 penalty.

State Business License Renewal

$200 annually.
